Legal Notice: These Terms of Service ("Terms") constitute a legally binding agreement between you and HERKO d.o.o. Please read them carefully before using Zyflow. If you do not agree to these Terms, do not download or use the application.

1. PARTIES AND ACCEPTANCE

1.1 Operator

The Zyflow mobile application ("App", "Service") is operated by:

(hereinafter referred to as "Zyflow", "we", "us", or "our")

1.2 User

By downloading, installing, registering for, or using the Zyflow application, you ("User", "you") confirm that:

(a) You have read and understood these Terms; (b) You are at least 16 years of age; (c) You agree to be legally bound by these Terms; (d) You have the legal capacity to enter into a binding agreement under applicable law.

The Service is not intended for persons under the age of 16. If you are under 16, you may not use Zyflow.

1.3 Acceptance

These Terms apply from the moment you first use the App, including before completing registration. Use of the Service constitutes acceptance of the most current version of these Terms.

2. DESCRIPTION OF THE SERVICE

2.1 What Zyflow Is

Zyflow is a free mobile application for electric vehicle and e-bike navigation, route planning, and discovery. The core features include:

• Route planning with estimated battery consumption

• Discovery and display of Points of Interest, including charging stations and other relevant locations

• Information about charging station locations (availability data is sourced from third-party providers and may not reflect real-time status)

• Saving and managing personal routes, including import and export of route files

• Community-contributed data about Points of Interest (presence and operational status)

• Weather and elevation information integrated into route planning

2.2 Free Service

The App is provided free of charge. HERKO d.o.o. reserves the right to introduce optional paid features or subscriptions in the future, with separate and clearly disclosed terms and pricing. Any such change will not retroactively alter these Terms with respect to existing free features.

2.3 Platform

The App is available on:

• iOS (Apple App Store)

• Android (Google Play Store)

Additional platforms may be introduced in the future.

2.4 Third-Party Data and Services

The Service relies on data and services provided by third parties, including map and routing providers, weather data services, and charging network data aggregators. We do not guarantee the accuracy, completeness, or availability of third-party data. A list of key third-party service providers is maintained in our Privacy Policy.

3. ELIGIBILITY AND ACCOUNT REGISTRATION

3.1 Age Requirement

You must be at least 16 years of age to use Zyflow. By using the Service, you represent and warrant that you meet this requirement. If we discover or have reason to believe that a user is under 16, we reserve the right to immediately suspend or terminate their account and delete associated data.

3.2 Account Creation

To access certain features of the Service, you must register an account. You agree to:

(a) Provide accurate, complete, and current information during registration; (b) Maintain and promptly update your account information; (c) Keep your login credentials confidential and not share them with any third party; (d) Notify us immediately at support@zyflow.eu if you suspect unauthorized access to your account; (e) Accept responsibility for all activities that occur under your account.

3.3 One Account Per Person

Each user may maintain only one account. Creating multiple accounts to circumvent restrictions or bans is prohibited.

3.4 Account Security

You are solely responsible for maintaining the confidentiality of your password. HERKO d.o.o. will not be liable for any loss or damage arising from your failure to protect your account credentials.

4. NAVIGATION, ROUTING, AND DATA ACCURACY

4.1 Informational Purpose Only

IMPORTANT — PLEASE READ CAREFULLY.

The routing, navigation, and range information provided by Zyflow is intended for informational and planning purposes only. It must not be treated as a guarantee, commitment, or authoritative instruction.

In particular:

• Range estimates are calculated based on vehicle parameters, elevation, weather, and routing data. Actual range will vary based on riding style, vehicle condition, battery age, temperature, speed, and other factors outside our control.

• Charging station availability is sourced from third-party data providers and may not reflect real-time status. A location shown as available may be occupied, out of service, or incompatible with your vehicle when you arrive.

• Route conditions such as road or path closures may not be reflected in all cases.

4.2 Rider Responsibility

You, as the rider or vehicle operator, are solely responsible for:

(a) All decisions made while operating your vehicle; (b) Verifying the availability and compatibility of charging infrastructure before relying on it; (c) Maintaining adequate charge reserves and not relying solely on Zyflow's estimates; (d) Complying with all applicable traffic laws and regulations; (e) Exercising your own judgment and not following navigation suggestions that would be unsafe, illegal, or impractical.

4.3 No Liability for Navigation Decisions

Subject to Section 12 (Limitation of Liability) and applicable mandatory consumer protection law, HERKO d.o.o. accepts no liability for damage, loss, injury, or other consequences arising from your reliance on routing, range, or charging availability data provided by the App.

5. USER-GENERATED CONTENT

5.1 Types of User Content

The App allows you to create and submit the following types of content ("User Content"):

• Saved routes: Personal route plans you create or import within the App

• POI contributions: Community reports on whether a Point of Interest is present and operational, along with optional notes

• Missing location submissions: Reports of charging stations or other relevant locations not yet in our database

5.2 Your Ownership

You retain ownership of all original intellectual property rights in the User Content you create and submit.

5.3 License Grant to Zyflow

By submitting User Content to the Service, you grant HERKO d.o.o. a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Service and HERKO d.o.o.'s operations, including for the purpose of improving the Service.

Saved routes are private by default and visible only to you. POI contributions (presence and operational status reports) are visible to other authenticated users of the Service as community signals.

5.4 Content Standards

You agree that all User Content you submit will:

(a) Be accurate and, where relevant, based on genuine personal experience; (b) Not infringe the intellectual property, privacy, or other legal rights of any third party; (c) Not be defamatory, false, misleading, offensive, or hateful; (d) Not contain personal data of third parties without their consent; (e) Not contain spam or unsolicited commercial content; (f) Not contain malicious code or links to harmful content.

5.5 Our Right to Remove Content

We reserve the right to remove, edit, or refuse to publish any User Content that violates these Terms or applicable law. We will endeavor to notify you of significant removals where reasonably practicable.

5.6 No Obligation to Store

We do not guarantee indefinite storage of your User Content. We recommend you keep your own copies of any route files important to you.

6. ACCEPTABLE USE

6.1 Permitted Use

You may use Zyflow only for lawful, personal, non-commercial purposes in accordance with these Terms.

6.2 Prohibited Conduct

You agree not to:

(a) Use the Service for any illegal purpose or in violation of applicable laws or regulations; (b) Attempt to gain unauthorized access to the Service or any related systems; (c) Reverse engineer, decompile, or attempt to extract the source code of the App; (d) Use automated means to scrape or collect data from the Service; (e) Interfere with or disrupt the integrity or performance of the Service; (f) Impersonate any person or entity, or misrepresent your affiliation; (g) Submit false, inaccurate, or misleading content or reports; (h) Use the Service to transmit unsolicited communications; (i) Use the Service in a manner that is unsafe or contrary to applicable traffic regulations.

6.3 Consequences of Violation

Violation of this Section may result in suspension or termination of your account and removal of your User Content.

7. INTELLECTUAL PROPERTY

7.1 Zyflow's IP

The Zyflow name, logo, application, design, user interface, graphics, code, and all content provided by HERKO d.o.o. (excluding User Content and third-party data) are the intellectual property of HERKO d.o.o. or its licensors, protected by applicable intellectual property laws. Nothing in these Terms transfers any ownership of Zyflow's intellectual property to you.

7.2 Limited License to Use

Subject to these Terms, HERKO d.o.o. grants you a limited, non-exclusive, non-transferable, revocable, personal license to install and use the App on your device solely for your personal, non-commercial purposes.

7.3 Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant HERKO d.o.o. an unrestricted, royalty-free right to use such feedback for any purpose.

7.4 Third-Party Content

The Service incorporates data and content from third parties (map data, POI data, etc.) which remains the property of their respective owners.

8. PRIVACY AND DATA PROTECTION

8.1 Privacy Policy

The collection, processing, and storage of your personal data is governed by our Privacy Policy, which forms an integral part of these Terms. By accepting these Terms, you also acknowledge the Privacy Policy.

8.2 GDPR Compliance

HERKO d.o.o. is committed to compliance with Regulation (EU) 2016/679 (GDPR) and applicable Slovenian data protection law.

8.3 Location Data

The App uses your device's location to provide navigation and routing features. You can withdraw location access through your device's operating system settings at any time, which will affect core app functionality.

9. THIRD-PARTY SERVICES

9.1 Third-Party Integrations

The Service relies on third-party data providers and services. Your use of certain features may involve data being processed by those third parties under their own terms and privacy policies. We are not responsible for third-party practices.

9.2 App Store Terms

Your use of the App is also subject to the terms of the Apple App Store or Google Play Store through which you downloaded it.

9.3 No Endorsement

Reference to any charging network, establishment, or Point of Interest within Zyflow does not constitute endorsement by HERKO d.o.o.

10. SERVICE AVAILABILITY AND MODIFICATIONS

10.1 No Uptime Guarantee

The Service is provided on an "as available" basis. We do not guarantee that the Service will be available at all times or free of errors.

10.2 Modifications to the Service

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We will endeavor to provide reasonable advance notice of significant changes.

10.3 Updates

We may release updates to the App from time to time. You may be required to install updates to continue using the Service.

11. ACCOUNT SUSPENSION AND TERMINATION

11.1 Termination by You

You may request deletion of your account at any time by contacting us at support@zyflow.eu. Upon account deletion:

• Your profile and personal data will be handled in accordance with our Privacy Policy

• Your saved routes will be deleted

• Your community contributions (POI reports) may be retained in anonymized form as they form part of the shared community dataset

• Certain data may be retained for a limited period where required by applicable law, as described in the Privacy Policy

You have the right under GDPR to request confirmation of erasure of your personal data at any time.

11.2 Termination by Us

We reserve the right to suspend or permanently terminate your account, with or without prior notice, if:

(a) You breach any provision of these Terms; (b) We are required to do so by applicable law or a competent authority; (c) Your account has been inactive for an extended period (we will endeavor to notify you in advance); (d) We discontinue the Service in whole or in part.

11.3 Effect of Termination

Upon termination, your license to use the App terminates immediately. Provisions that by their nature should survive termination will survive, including Sections 5.3, 7, 12, 13, and 15.

12. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

12.1 "As Is" Service

The Service is provided "as is" and "as available" without warranties of any kind, to the fullest extent permitted by applicable law.

12.2 Mandatory Consumer Protections

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable mandatory law, including Slovenian consumer protection law (ZVPot-1) and EU consumer law, in particular:

(a) Liability for death or personal injury caused by our negligence; (b) Liability for fraud or fraudulent misrepresentation; (c) Any other liability that cannot be limited or excluded by law.

12.3 Limitation of Liability

Subject to Section 12.2, to the maximum extent permitted by applicable law:

(a) HERKO d.o.o. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of or inability to use the Service;

(b) HERKO d.o.o.'s total aggregate liability for any claims arising from these Terms or the Service shall not exceed EUR 100 or the amount you paid us in the 12 months preceding the claim, whichever is greater.

12.4 Navigation Disclaimer

As stated in Section 4, HERKO d.o.o. is not liable for consequences arising from reliance on routing, range estimation, or charging station data provided by the App.

13. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless HERKO d.o.o., its directors, officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses arising from:

(a) Your use of the Service in violation of these Terms; (b) User Content you submit, including any infringement of third-party rights; (c) Your violation of any applicable law or regulation.

14. CHANGES TO THESE TERMS

14.1 Our Right to Amend

We reserve the right to modify these Terms at any time. We will notify you of material changes by displaying a notice in the App and/or sending a notification to your registered email address.

14.2 Notice Period

For changes that materially affect your rights or obligations, we will provide at least 30 days' notice before the new Terms take effect.

14.3 Acceptance of Changes

Continued use of the Service after the effective date of updated Terms constitutes your acceptance. If you do not agree, you must stop using the Service and delete your account.

15. GOVERNING LAW AND DISPUTE RESOLUTION

15.1 Governing Law

These Terms are governed by the laws of the Republic of Slovenia.

15.2 Jurisdiction

Any dispute that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the competent courts in Ljubljana, Slovenia.

15.3 EU Online Dispute Resolution

As required by EU Regulation No 524/2013, the European Commission provides an Online Dispute Resolution platform:

15.4 Informal Resolution First

Before initiating formal proceedings, please contact us at support@zyflow.eu. We commit to responding within 15 business days.

16. MISCELLANEOUS

16.1 Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and HERKO d.o.o. with respect to the Service.

16.2 Severability

If any provision is found invalid or unenforceable, it shall be modified to the minimum extent necessary or severed. Remaining provisions continue in full force.

16.3 No Waiver

Our failure to enforce any right or provision shall not constitute a waiver.

16.4 Assignment

You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.

16.5 Force Majeure

HERKO d.o.o. shall not be liable for failure or delay due to circumstances beyond our reasonable control.

16.6 Language

These Terms are available in English and [Slovenian — https://www.zyflow.eu/pogoji-uporabe]. In the event of a conflict, the Slovenian version shall prevail for Slovenian residents.
